GENERAL EXHIBITOR INFORMATION
1. The Queens Book Fair will be held on Saturday, August 19, 2006 from 11 a.m. to 7 p.m.
2. The display area is 6 x 6 deep. Exhibit space includes a 6' front. Anyone needing more space may order a double space or two adjacent spaces.
3. Exhibitors space will be available for set-up from 9:00 a.m. on the day of the event. Exhibition space must be ready for the public no later than 10:30 am. BREAK DOWN WILL BEGINS PROMPTLY AT 7:00 P.M. All exhibitors must be off premise by 8:00 P.M.
4. CLEAN UP OF THE PUBLIC AREAS WILL BEGIN PROMPTLY AT 7:00 P.M. EXHIBITORS ARE RESPONSIBLE FOR THE REMOVAL OF ALL DEBRIS WITHIN THEIR EXHIBITION AREA. The Exhibitor shall at all times maintain the interior and exterior of the exhibition space and the surrounding premises used in connection with such business in the highest degree of cleanliness, orderliness, and sanitation. The Exhibitor shall construct and repair the exterior and interior of his exhibition space at his own expense.
5. The Queens Book Fair reserves the right to enter upon the premises at any time for the purpose of examining such premises, inspecting furnishings and fixtures, operating methods, and insuring compliance with the rules and regulations comprised in this Agreement.
6. During the term of this Agreement, Exhibitor will not, without written consent the of Queens Book Fair, sublease, mortgage, pledged, grant a security interest, otherwise assign as security, or else transfer assign as security, or sell, transfer, assign, such premises or any part thereof or any equipment, furnishings, or fixtures located thereon or any interest which the Queens Book Fair may have in any part thereof.
7. The privileges herein granted to exhibitor contemplate the exhibition of goods or services at the Queens Book Fair. This Agreement contains the entire Agreement of the parties and no representations, inducements, promises, or Agreements, oral or otherwise, between the parties not embodied herein shall be of any force or effect. No failure of the Queens Book Fair to exercise any power given hereunder, or insist upon strict compliance by the member of any obligation hereunder, and no custom or practice of the parties at variance with the terms hereof shall constitute a waiver of the Queens Book Fair?s right to demonstrate compliance with the terms of the above. The Queens Book Fair and Exhibitor are not and shall not be considered as joint ventures, partners, or as agent of the other, and neither shall have the power to find or obligate the other except as set forth in this Agreement.
8. The interest of the Exhibitor in this Agreement is personal and shall not be assigned, transferred, shared, or divided in any manner by the Exhibitor.
9. Exhibitor shall not create, design, or sell any souvenir item affixed with the Queens Book Fair name or logo.
10. The Queens Book Fair shall have the right to photograph such exhibition space to use any such photographs in any of its
publicity or advertising, and the Exhibitor shall cooperate in securing such photographs and consent of persons pictured. The Exhibitor shall forever protect and keep the Queens Book Fair harmless and indemnify licensor against any and all claims,
demands, losses, cost, damage suit, judgment, penalties, expenses, and liabilities of any kind or nature whatsoever arising directly or indirectly out of or in connection with the operation of its exhibit space.
11. The Exhibitor shall conduct his business and maintain such premises in strict compliance with all applicable laws, ordinances, regulations, and other requirements or any federal, state, county, municipal, or other government regulation and will obtain all necessary licenses, insurance, and other consents for the operation of his business.
12. If the Exhibitor shall neglect or fail to perform or observe any of the convenience of the Queens Book Fair, or unless any such condition is remedied to satisfaction of the Queens Book Fair, it may terminate this Agreement and all rights of the Vendor hereunder shall cease.
